1. Who you are contracting with

These terms form a binding agreement between you and TermCrest ("TermCrest", "we", "us"). By creating an account or using the service you agree to be bound by these terms.

2. The service

TermCrest provides a terminology search service for professional translators, including search across third-party terminology databases and personal termbase storage. Available features depend on the plan you select.

3. Accounts

You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. If you are using the service on behalf of an organisation, you confirm you have authority to bind it.

4. Acceptable use

You must not:

  • use the service for any unlawful, fraudulent, or abusive purpose;
  • infringe the intellectual property rights of TermCrest or any third party;
  • send spam or unsolicited communications through the service;
  • introduce malware, probe, scan, or otherwise interfere with the security of the service;
  • scrape, crawl, or extract data at scale outside of permitted product features;
  • reverse engineer, resell, or redistribute the service or circumvent its technical limits.

5. Licence

Subject to these terms, TermCrest grants you a limited, non-exclusive, non-transferable right to use the service for your professional translation work, within the limits of your plan.

6. Intellectual property

TermCrest and its licensors retain all rights, title and interest in the service, including the software, documentation, and branding. You retain ownership of content you upload (such as termbase entries) and grant us a limited licence to host and process it solely to provide the service.

7. Payment, billing and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing frequency, taxes, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled. 8. Service level

We work hard to keep the service available, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, fail to pay, pose a security or fraud risk, or repeatedly or seriously violate our policies. On termination, your right to use the service ends and we may delete your data after a reasonable export window.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these terms is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these terms excludes liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify TermCrest against claims arising from your content, your unlawful use of the service, or your breach of these terms.

12. Changes

We may update these terms from time to time. Material changes will be communicated through the service or by email. Continued use after changes take effect constitutes acceptance.

13. Governing law

These terms are governed by the laws of TermCrest's place of establishment, and disputes will be subject to the exclusive jurisdiction of the competent courts there, without prejudice to mandatory consumer protections in your country of residence.
